Terms of Service

1. Acceptance

By creating an account or using Nonprofit Runway, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the service. If you are accepting on behalf of an organization, you represent that you have authority to bind that organization.

2. What we provide

Nonprofit Runway provides a financial runway tracking dashboard for nonprofit organizations. We connect to your bank and donation platforms to calculate how long your organization can operate at its current pace, display historical trends, and help you model different spending scenarios.

We may update, modify, or discontinue features of the service at any time. Where possible, we will give you reasonable notice before removing a feature you depend on.

3. Your responsibilities

You are responsible for:

• Maintaining the security of your account credentials
• Ensuring that all users you invite to your organization agree to these terms
• The accuracy of the information you provide during registration
• Any activity that occurs under your account

You must notify us immediately at security@nonprofitrunway.com if you suspect unauthorized access to your account.

4. Data accuracy

Runway calculations are based on data retrieved from your connected bank and donation accounts. Factors that may affect accuracy include:

• Delays in bank transaction processing (typically 1–3 business days)
• Plaid's 90-day transaction history window on initial connection
• Pending or in-flight transactions not yet settled
• Accounts not included in your balance configuration

We make no guarantee that calculations are error-free. Do not rely solely on Nonprofit Runway for major financial decisions. Always verify key figures with your actual bank statements and consult a qualified financial advisor for significant financial planning.

5. Acceptable use

You may not use Nonprofit Runway to:

• Violate any applicable law or regulation
• Attempt to access another organization's data or accounts
• Reverse engineer, decompile, or attack the platform
• Share your login credentials with unauthorized users
• Transmit malware, ransomware, or malicious code
• Use automated scripts to scrape or overload the service
• Impersonate another organization or individual

Violations may result in immediate account suspension without notice.

6. Service availability

We aim for high availability but do not guarantee uninterrupted access to Nonprofit Runway. Scheduled maintenance, infrastructure upgrades, and events outside our control (such as cloud provider outages) may temporarily affect availability.

We will make reasonable efforts to notify account administrators of planned downtime in advance. We do not provide a financially backed SLA for the current service tier.

7. Limitation of liability

To the maximum extent permitted by applicable law, Nonprofit Runway and its operators are not liable for any indirect, incidental, special, consequential, or punitive damages — including loss of data, revenue, or goodwill — arising from your use of or inability to use the service, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claim arising from these terms or your use of the service shall not exceed the amount you paid to us (if any) in the 12 months preceding the claim.

Nothing in these terms limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

8. Termination

You may delete your organization at any time from the Admin panel. Deletion is permanent; we will purge your financial data within 30 days in accordance with our Privacy Policy.

We reserve the right to suspend or terminate accounts that violate these terms, engage in fraudulent activity, or pose a security risk to other users. Where feasible, we will give you notice and an opportunity to remedy the issue before taking action.

9. Intellectual property

Nonprofit Runway and its source code, design, and branding are the property of Nonprofit Runway and its operators. These terms do not grant you any intellectual property rights in the service.

Your organization's data — financial figures, donation records, and runway history — remains yours. We claim no ownership over the data you store on the platform.

10. Governing law

These terms are governed by the laws of the State of New Jersey, United States, without regard to its conflict-of-law provisions. Any dispute arising from these terms will be resolved in the state or federal courts located in New Jersey, and you consent to personal jurisdiction in those courts.

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force.
